Spin out

Ein Ableger bezeichnet in der Betriebswirtschaftslehre eine Abspaltung einer Geschäftseinheit aus einem Unternehmen. Alternativbezeichnungen: Ausgründung; im Englischen spin out oder spin-off.

Bei einem wirtschaftlichen Ableger handelt es sich um eine Firmenneugründung (in Deutschland durch Spaltung nach dem Umwandlungsgesetz) durch Abspaltung eines Teiles einer bestehenden Firma auf ein eigenständiges Unternehmen; die Anteilseigner der bestehenden Firma erhalten dabei kostenlose Anteile der neuen Firma oder Bezugsrechte auf Anteile der neuen Firma.

Ein eng verwandter Begriff ist der so genannte Equity Carve Out, bei dem Anteile einer Tochterfirma an der Börse platziert werden.
