Custody

Unter dem Begriff Wertpapierdepotgeschäft (auch Effektenverwaltung, oder englisch Custody) versteht man die Verwahrung und Verwaltung von Wertpapieren von Kreditinstituten für Andere. Unter diesem Sammelbegriff werden verschiedene Wertpapierdienstleistungen zusammengefasst, die eine das Produkt anbietende Bank erbringen muss:

Verwahrung der Wertpapiere

Es wird grundsätzlich zwischen der Verwahrung im offenen und geschlossenen Depot unterschieden. Im geschlossenen Depot bietet die Bank lediglich Tresorraum für die effektiven Stücke aus Tafelgeschäften oder Auslieferung an. Alle Verwaltungstätigkeiten müssen vom Kunden übernommen werden (z. B. Einlösen der Kupons oder des Talons) und es erfolgen keine Benachrichtigungen hinsichtlich Kapitalmaßnahmen oder Hauptversammlungen.

Verwaltung der Wertpapiere

Die Depotbank löst die Zins-, Dividenden und Rückzahlungsansprüche der von ihr verwahrten Wertpapiere – ggf. über den Drittverwahrer – ein und schreibt die Erträge bzw. die Erlöse dem Eigentümer gut. Etwaig fällige Kapitalertragssteuer oder Zinsabschlagssteuer wird unter Beachtung bestehender Freistellungsaufträge wird ans Finanzamt abgeleitet. Liegen effektive Stücke vor, gehört auch die Verwaltung der Zins- und Dividendencoupons (Bögen) zu den Aufgaben der Depotbank.


Bei Inhaberaktien versendet die Depotbank die Einladungen zu Hauptversammlung an die unter ihren Kunden befindlichen Aktionären. Im Falle einer Vollmachtserteilung durch den Kunden hin nimmt die Depotbank dessen Aktionärsstimmrecht war (sog. Depotstimmrecht). Dabei kann der Kunde die Depotbank auch zu einem bestimmten Stimmverhalten anweisen.
