MoU

Der Begriff des Memorandum of Understanding kommt aus dem US-amerikanischen Rechtskreis. Darunter wird gemeinhin ein Dokument verstanden, das von den Verhandlungspartnern eines noch abzuschließenden Vertrages unterzeichnet wird und die Eckpunkte des späteren Vertrages festlegt. In der Regel handelt es sich um eine bloße Absichtserklärung, d.h. das Memorandum of Understanding hat keine rechtliche Bindungswirkung.

Im deutschen Rechtskreis wird der Begriff Punktation häufig synonym gebraucht. In Fachkreisen wird das Memorandum of Understanding häufig mit "MoU" abgekürzt. Eine andere Form der Absichtserklärung ist der Letter of Intent.

MoUs sind besonders häufig im Rahmen der Verhandlung von Unternehmenskaufverträgen.
