Der Theoretical ex-rights price (TERP; zu deutsch: theoretischer nach-Rechte Preis) ist der angenommene Aktienkurs nach der Emission Junger Aktien nach einer Kapitalerhöhung.
Hintergründe
Werden Junge Aktien ausgegeben, so geschieht dieses oft zu einem günstigeren Preis als der jeweils aktuelle Marktpreis der Aktie ist. Dieser Abschlag (engl. discount) stellt einen Anreiz für bestehende sowie potentielle neue Aktionäre dar, in die neuen, jungen Aktien zu investieren. Dieser Abschlag ist auch einer der Gründe, weshalb ein Bezugsrecht für die Altaktionäre interessant ist, bzw. stellt die Basis für die Ermittlung des Wertes der Bezugsrechte dar.
Errechnet wird der TERP, indem man das arithmetische Mittel der Preise von jungen und alten Aktien ermittelt, also die Menge der Altaktien mit dem aktuellen Marktpreis (Aktienkurs) multipliziert, zu diesen das Produkt aus Menge Junger Aktien und Emissionspreis der neuen Aktien addiert und dieses durch die Summe der Menge Junge Aktien + Alte Aktien dividiert:
