Der Graue Markt (englisch "grey market" oder "gray market") bezeichnet einen Fluss von Gütern über Vertriebswege, die nicht vom Hersteller autorisiert sind. Anders als auf dem Schwarzmarkt sind Güter vom Grauen Markt nicht illegal. Sie werden außerhalb des normalen Distributionsweges von Unternehmen, die keine Beziehung zum Produzenten des Artikels haben, verkauft.

Sofern es sich um Markenwaren handelt, deren Vertrieb der Markenrechtsinhaber in bestimmten Ländern verboten hat, kann die Grenze zum Schwarzmarkt allerdings auch überschritten sein, obwohl es sich durchaus um "echte" Ware handelt.

In Anlehnung an die niederländische Bezeichnung: "grijze markt" bezeichnet Grauer Markt auch den Straßenverkauf von medizinischen Verschreibungen, wie Substitutionsmittel (Methadon) oder Schlaf- und Beruhigungsmittel (Rohypnol), auf der Drogenszene. Verkäufer sind zumeist die Patienten, der Profit ist aber nicht so spektakulär wie auf dem Schwarzmarkt. In der Drogenszene werden also vor allem Benzodiazepinpräparate wie Valium® oder Dormicum® etc. beziehungsweise oben erwähnte Substitutionsmittel oder auch legal erhältliche Amphetaminpräparate wie Ritalin® zu unterschiedlichsten Preisen verkauft, um den Gewinn weiter für die Finanzierung illegaler Drogen zu verwenden, womit eine sehr enge Verbindung zum Schwarzmarkt besteht. Des Weiteren sind beispielsweise Methadon und Methylphenidat verschreibungsfähige und somit legal erwerbbare Betäubungsmittel, deren unbefugte Weitergabe jedoch illegal ist.
