Memorandum of Understanding (kurz MoU) ist ein englischer Begriff, der eine Absichtserklärung unter künftigen Vertragspartnern bezeichnet. Es handelt sich um ein Dokument, das die Eckpunkte eines noch abzuschließenden Vertrages festlegt. Diese grundsätzliche Vereinbarung hat keine rechtliche Bindungswirkung im Sinne beispielsweise einer Verhandelbarkeit vor dem Europäischen Gerichtshof, kann aber sehr wohl eine bindende haushalterische Wirkung entfalten, um zum Beispiel Mittel für die Umsetzung beim Parlament zu beantragen.

In Deutschland wird der Begriff Punktation häufig synonym gebraucht, obwohl der aus dem Österreichischen stammende Begriff eigentlich bereits rechtsverbindliche Vereinbarungen beschreibt.

MoUs sind besonders häufig im Rahmen der Verhandlung von Unternehmenskaufverträgen und bei zwischenstaatlichen Verträgen, zum Beispiel Agrarabkommen.
